Purpose of Transaction

 

This form is being filed to update the amendment to Form 13D that was filed on August 17, 2011. Mr. Bainum may be deemed to share voting and dispositive power over the shares he and Mrs. Bainum contributed to Commonweal Foundation, Inc. (“Commonweal”) on August 8, 2011 by virtue of his position as one of the members of the Investment Committee of Commonweal.

Item 5.      Interest in Securities of the Issuer
     (a)      Amount and percentage beneficially owned:
          Reporting Person:
          8,875,853 shares, including 2,667,853 shares held directly by the Stewart Bainum Declaration of Trust (“SB Trust”), of which Mr. Bainum is the sole trustee and beneficiary; 2,723,600 shares held by the Jane Bainum Declaration of Trust (“JB Trust”), the sole trustee and beneficiary of which is Mr. Bainum’s wife; 224,400 shares held by Cambridge Investment Co. LLC, a family owned entity in which the SB Trust is Managing Member and the SB Trust and JB Trust are equity members; and 60,000 shares owned by Dinwiddie Enterprises, Inc., a corporation owned entirely by the SB Trust. Also includes 3,200,000 shares owned by Commonweal Foundation, Inc. a private foundation whose principal sponsors are Mr. Bainum and his wife for which Mr. Bainum shares voting and dispositive authority.

To the best of the Reporting Person’s knowledge, other than Stewart and Jane Bainum, their four adult children, Stewart Bainum, Jr., Bruce Bainum, Roberta Bainum and Barbara Bainum, no other person has such interest relating to more than 5% of the outstanding class of securities. To the extent that shares of the Issuer identified in Item 5(a) are held by Commonweal, the Foundation has the right to receive dividends from, or the proceeds from the sale of the shares.
