Evolving Laws and Rules Regarding the Private Sale of Securities to be Explored

Regulation D Offerings and Private Placements 2018 Conference
PHILADELPHIA - Dec. 26, 2017 - PRLog -- American Law Institute Continuing Legal Education (ALI CLE) has announced that Regulation D Offerings and Private Placements 2018  will be held on March 15 - 17, 2018 in Scottsdale, Arizona. This must-attend conference addresses the revolutionary changes in the private placements market that have given businesses the opportunity to begin or expand operations by reaching new markets for their securities to quickly and inexpensively raise capital. Law firm and in-house counsel who provide advice on capital raising and private placements will benefit from this course. Compliance officers and other principals of financial firms, entrepreneurs, angel financiers/investors, venture capitalists, and bankers will also find it valuable.

A faculty comprised of current and former SEC, state, and FINRA regulators, experienced practitioners, and industry participants will engage attendees in lively panel discussions to provide insights and the most up-to-date information on the current issues under regulations involving pre-offerings and parallel marketing. Additionally, the latest on proposed rules and legislation that are likely to affect these types of offering exemptions going forward will also be examined. After a year's absence, Kimberly V. Mann of Pillsbury Winthrop Shaw Pittman LLP of Washington, D.C. rejoins the faculty.

Relevant topics to be addressed at the conference include:

·       Rule 506 (c) as a tool to use "general solicitation" to raise money from qualified investors

·       Federal crowdfunding exemptions or startups and small businesses

·       Regulation A+ as an alternative to private placements

·       Expanded Rule 504 and the new feasibility of intrastate and regional offerings

"Given regulatory developments and experience with new exempt offering alternatives, we want this year especially to compare and contrast the exempt offering alternatives, consider how they interact (integrate) with each other, and address the marketing and marketplace realities for Regulation D, Regulation A+, crowdfunding, and other exempt offerings and private placement securities," said planning co-chair Robert B Robbins of Pillsbury Winthrop Shaw Pittman LLP, Washington, D.C.
