Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
 
In a report filed on March 8, 2005, Exelon Corporation (Exelon) announced that on March 7, 2005 it had entered into a $2 billion term loan agreement, the proceeds from which were intended to finance a pension funding announced in 2004. On March 10, 2005, Exelon borrowed $1.2 billion under the term loan agreement and on March 30, 2005 borrowed an additional $0.8 billion. These funds were immediately contributed to Exelon’s defined benefit pension plans on the same day as the borrowings.
