On December 29, 2008, Cogdell Spencer Inc. (the “Company”) issued a press release describing, among
other things, the implementation of a cost saving plan. According to the press release, this plan
includes elimination of all executive incentive compensation for the Company’s 2009 fiscal year,
unless budgeted benchmarks are substantially exceeded. A copy of the press release is attached as
Exhibit 99.1.
ITEM 7.01 Regulation FD Disclosure
On December 29, 2008, the Company issued a press release regarding, among other things, its
quarterly dividend and 2009 business strategy, which includes the cost saving plan discussed above.
