Item 12. Results of Operations and Financial Conditions

     On August 19, 2004, Claire’s Stores, Inc. (the “Company”) issued a press release announcing the Company’s results for the second quarter of fiscal 2005 and providing guidance relating to the balance of the fiscal year. In addition, the Company declared that it was increasing its regular quarterly dividend to $0.08 on its Common Stock and to $0.04 on its Class A Common Stock. A copy of the press release is furnished with this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
