Item 8.01 Other Events

On May 27, 2010, Bernard S.Y. Fung, a member of the Boards of Directors of MasterCard Incorporated and MasterCard International Incorporated (collectively, the “Company”), died. Mr. Fung had served as a director since June 2006 just after the Company’s initial public offering, and also served as a member of the Company’s Human Resources and Compensation Committee.

Mr. Fung was an insightful and valued member of the Board and the Human Resources and Compensation Committee and will be greatly missed.
