ITEM 9.  REGULATION FD DISCLOSURE.

On January 3, 2003, Reliant Resources, Inc. made available the consolidated
balance sheet of Reliant Energy Retail Holdings, LLC and its subsidiaries as of
September 30, 2002 and the related statements of consolidated income, cash
flows, and member's equity for the nine months ended September 30, 2002.
Attached hereto as Exhibit 99.1 and incorporated by reference herein is a copy
of the consolidated balance sheet of Reliant Energy Retail Holdings, LLC and its
subsidiaries as of September 30, 2002 and the related statements of consolidated
income, cash flows, and member's equity for the nine months ended September 30,
2002.
