Item 1.01 Entry into a Material Definitive Agreement.
Item 3.03 Material Modification to Rights of Security Holders.
On April 30, 2007, the Company and Mellon Investor Services LLC, as successor to The Chase
Manhattan Bank, entered into an amendment (the “Amendment”) to the Rights Agreement between the
Company and The Chase Manhattan Bank, dated as of October 18, 1996 (the “Rights Agreement”). The
Amendment, among other things, extends the term of the stock purchase rights issued under the
Rights Agreement to October 25, 2016, removes the dead-hand provisions from the Rights Agreement,
and formally replaces the former Rights Agent, The Chase Manhattan Bank, with its
successor-in-interest, Mellon Investor Services LLC.
