     (d) On March 29, 2010, the Board of Directors of Steelcase Inc. elected Ms. Connie K. Duckworth to serve as a member of Class III of the Board of Directors with a term expiring in June 2010. Ms. Duckworth also was named as a member of the Compensation Committee.
     (e) The form of agreement for performance units in fiscal year 2011 under the Steelcase Inc. Incentive Compensation Plan is attached as Exhibit 10.1 and is incorporated by reference herein.
