Item 1.01. Entry Into a Definitive Material Agreement.
On October 29, 2009, Insulet Corporation (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with J.P. Morgan Securities Inc. on behalf of the Underwriters listed on Schedule 1 thereof (the “Underwriters”), for the sale by the Company to the Underwriters of 6,000,000 shares of common stock, par value $0.001 per share (the “Firm Shares”). The Firm Shares were sold to the public at a price of $10.25, and the Underwriters have agreed to purchase the Firm Shares from the Company pursuant to the Underwriting Agreement at a price of $9.635 per share. On October 30, 2009, the Underwriters fully exercised their option to purchase an additional 900,000 shares of common stock (together with the Firm Shares, the “Shares”). The offering of the Shares is expected to close on or about November 4, 2009, subject to customary closing conditions. The net proceeds to the Company are expected to be approximately $66.0 million after deducting estimated expenses payable by the Company associated with the offering.
The Underwriting Agreement contains customary representations, warranties and covenants by the Company. It also provides for customary indemnification by each of the Company and the Underwriters for losses or damages arising out of or in connection with the sale of the Shares.
The offering is being made pursuant to a registration statement on Form S-3 (File No. 333-158354) filed with the Securities and Exchange Commission (the “Commission”) on April 1, 2009, in the form in which became effective on April 8, 2009 (the “Registration Statement”), the prospectus included in the Registration Statement and a final prospectus supplement relating to the Shares filed pursuant to Rule 424(b)(5) of the Securities Act on October 29, 2009.
A copy of the Underwriting Agreement is attached as Exhibit 1.1 and is incorporated herein by reference, and the foregoing description of the Underwriting Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Underwriting Agreement.
