          QUEST DIAGNOSTICS EXTENDS EXCHANGE OFFER FOR SHARES OF UNILAB

TETERBORO, N.J., January 7, 2003-- Quest Diagnostics Incorporated (NYSE: DGX),
the nation's leading provider of diagnostic testing, information and services,
announced today that it has extended the expiration date for its previously
announced cash election exchange offer for all outstanding shares of Unilab
Corporation common stock. The offer was extended by 10 business days and will
now expire at 12:00 midnight, New York City time, on Monday, January 20, 2003,
unless extended.

The exchange offer period has been extended because Quest Diagnostics and Unilab
are continuing their discussions, which include settlement discussions, with the
Federal Trade Commission (FTC) regarding the proposed transaction. As previously
announced, Quest Diagnostics and an undisclosed third party purchaser have
submitted a proposal to the FTC related to the proposed divestiture of certain
assets of the combined company in Northern California following the completion
of the merger with Unilab. The divestiture is subject to FTC review and
approval. Quest Diagnostics continues to believe that the transaction is not
anti-competitive, and hopes to complete the transaction by January 31, 2003.
However, there can




be no assurance that the conditions to the transaction, including receipt of FTC
approval, will be satisfied by that time.

As of 12:00 midnight, New York City time, on January 6, 2003, approximately 27
million shares of Unilab Corporation common stock had been tendered,
representing 81% of the outstanding Unilab Corporation common stock.
