Item 1.01. Entry into a Material Definitive Agreement.

     On January 18, 2005, CancerVax Corporation (the “Company”) entered into a Fourth Amendment to Lease (the “Amendment”) with Marina Business Center, LLC, a California limited liability company (“Marina”). Pursuant to the Amendment, Marina approved the Company’s tenant improvement plans related to its biologics manufacturing facility located in Los Angeles, California.
