DEREGISTRATION OF UNSOLD SECURITIES

 

This Post-Effective Amendment No. 1 to Form S-8 Registration Statement relates to the Registration Statement on Form S-8 (File No. 2-96994) (as amended, the “Registration Statement”) of Collins Industries, Inc. (the “Company”) pertaining to 1,403,077 shares of the Company’s common stock, par value $0.10 per share, which was filed with the Securities and Exchange Commission (the “Commission”) and became effective April 10, 1985. The Registration Statement registered 1,403,077 shares of common stock for sale pursuant to the Company’s Tax Deferred Savings Plan and Trust.

On January 19, 2006, the Company filed a Form 15 with the Commission to effect the deregistration of its common stock under the Securities Exchange Act of 1934. As a result of the deregistration of its common stock, the Company hereby removes from registration the securities of the Company registered but unsold under the Registration Statement.
