Item 5.03.     Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
(a) On July 26, 2018, the Board of Directors (the “Board”) of Newfield Exploration Company (“Newfield”) approved amended and restated bylaws (as amended, the “Bylaws”) of Newfield, effective July 26, 2018, to make certain revisions to stockholder meeting mechanics, indemnification provisions, and other changes to provide for updates in Delaware law, as well as various clarification and ministerial changes.
This summary is qualified in its entirety by reference to the Bylaws, effective July 26, 2018, which were filed as Exhibit 3.2 to the Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on July 31, 2018, and is incorporated herein by reference.
