Item 2.02 Results of Operations and Financial Condition
On February 22, 2007 Universal Electronics Inc. (“UEI”) is issuing a press release and holding a
conference call regarding its financial results for the fourth quarter 2006. A copy of the press
release is included as Exhibit 99.1 to this report.
