     The Registrant's Quarterly Report on Form 10-Q for the quarterly period
ended March 31, 2003 cannot be completed within the prescribed time period
because the Registrant is experiencing a delay in finalizing the consolidated
financial statements and Management's Discussion and Analysis of Financial
Condition and Results of Operations to be included in such Form 10-Q. The
Registrant and several of its subsidiaries filed voluntary petitions for
reorganization under Chapter 11 of Title 11 of the United States Bankruptcy Code
in the United States Bankruptcy Court for the Northern District of Illinois
("Bankruptcy Court") on December 17, 2002. After that date, significant
resources have been devoted to the bankruptcy process. The Registrant's
Quarterly Report on Form 10-Q will be filed as soon as practicable.

     The net loss applicable to common stock for the first quarter of 2003 is
expected to be approximately $35 million. The net loss applicable to common
stock for the first quarter of 2002 was $3,046.1 million. The loss recognized in
the first quarter of 2002 includes the cumulative effect of an accounting change
for goodwill impairment of $2,949.2 million pursuant to the adoption of
Statement of Financial Accounting Standards No. 142, "Goodwill and Other
Intangible Assets".
