Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 1, 2008 Hasbro, Inc. (the Company) issued a press release announcing that Tracy A. Leinbach, former Executive Vice President and Chief Financial Officer for Ryder System, Inc., had been elected to the Companys Board of Directors (the Board) effective July 1, 2008. Upon joining the Board, Ms. Leinbach became a member of the Boards Audit Committee. A copy of the press release is filed as Exhibit 99.1 to this Current Report and is incorporated herein by reference. In connection with her appointment to the Board and as part of its annual compensation for non-employee directors, the Company is granting to Ms. Leinbach such number of shares of the Companys common stock, par value $.50 per share, as is equal to $105,000 divided by the average of the high and low sales prices of the Companys common stock on July 1, 2008.
