Item 1.01 Entry into a Material Definitive Agreement

As previously reported, on September 21, 2010, Trustmark Corporation, a Mississippi corporation ("Trustmark") and Cadence Financial Corporation, a Mississippi corporation ("Cadence") entered into an Agreement and Plan of Reorganization ("Agreement") pursuant to which Cadence agreed to merge with and into Trustmark.  A copy of the Agreement is attached to this filing as Exhibit 2.1.

In connection with the proposed merger, Trustmark will file a Registration Statement on Form S-4 that will include a proxy statement of Cadence and a prospectus of Trustmark and other relevant documents concerning the proposed merger with the Securities and Exchange Commission (“SEC”). INVESTORS AND SHAREHOLDERS ARE URGED TO READ THE PROXY STATEMENT/PROSPECTUS REGARDING THE PROPOSED TRANSACTION WHEN IT BECOMES AVAILABLE BECAUSE IT WILL CONTAIN IMPORTANT INFORMATION.  Copies of the proxy statement/prospectus and the filings with the SEC that will be incorporated by reference in the proxy statement/prospectus can also be obtained, without charge, by directing a request to F.
