Item 8.01.  Other Events.

Trustmark Corporation (the “Company”) today announced that, effective April 1, 2019, the Board of Directors has authorized a new stock repurchase program under which $100,000,000 of its outstanding common shares may be acquired through March 31, 2020.  The adoption of the Company’s share repurchase program follows the receipt of non-objection from the Board of Governors of the Federal Reserve System.

The shares may be purchased from time to time at prevailing market prices, through open market or privately negotiated transactions, depending on market conditions. There is no guarantee as to the number of shares that may be repurchased by the Company, and the Company may discontinue purchases at any time at management’s discretion. As of March 14, 2019, the Company had approximately 64.9 million shares outstanding.
