Shareholder Meeting Notice South State Corporation’s Annual Meeting of Shareholders will be held on April 20, 2017 at 520 Gervais Street, Columbia, South Carolina at 2:00 p.m. Eastern Time. Proposals for 2017 annual meeting before shareholders on April 20, 2017, along with Board of Directors’ recommendations: The Board of Directors recommends a vote FOR all nominees, and FOR Proposal 2, 3, 4 and 5. 1. Election of Directors: 01 - Robert R. Hill, Jr. 02 - Paula Harper Bethea 03 - Martin B. Davis 04 - Thomas J. Johnson 05 - Grey B. Murray 2. Proposal to conduct an advisory vote on the compensation of the Company’s named executive officers (this is a non-binding, advisory vote; the Board of Directors unanimously recommends that you vote “FOR” this proposal); 3. Proposal to conduct an advisory vote on the frequency of future advisory votes on compensation of the Company’s named executive officers (this is a non-binding, advisory vote; the Board of Directors unanimously recommends that you vote for the option of “ANNUALLY” in this proposal); 4. Proposal to consider approval of the 2012 Omnibus Stock and Performance Plan, as amended and restated, to re-approve the performance goals under the Plan and include a limit on non-employee director equity compensation payable under the Plan (Board of Directors unanimously recommends that you vote “FOR” this proposal); and 5.
