Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 18, 2017, the Board of Directors elected a new member, Mr. James H. Scholefield, Executive Vice President and Global Chief Information Officer of NIKE, Inc. The Board has not yet determined the committee(s) to which Mr. Scholefield will be named.

In connection with his appointment as a director, Mr. Scholefield will participate in the Company’s Restricted Stock Unit Plan for Non-Employee Directors. A description of that Plan can be found in the Company’s Proxy Statement filed March 8, 2017, and is incorporated herein by reference.





Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective October 20, 2017, the Board of Directors of the Registrant approved amendments to the Company's Bylaws to change the name of the compensation committee from "Compensation and Organization Committee" to "Compensation and Talent Development Committee."
