Item 8.01 Other Events.

On June 11, 2008, The Stanley Works issued a press release announcing that it has entered into agreements to sell its CST/berger business and, in a separate transaction, to purchase 100% of the shares of Sonitrol Corporation. The company also announced plans to prune several small, non-strategic product lines during the remainder of 2008. The press release discusses the anticipated effect of these activities on the company's diluted earnings per share and annual revenue for 2008 and beyond.
