Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Effective October 8, 2007, Thomas G. Lightner, 63, Vice President, Manufacturing, of Delta Design, Inc. ("Delta"), Cohu’s wholly-owned semiconductor equipment subsidiary and principal business, will become Vice President, Operations, of Broadcast Microwave Services, Inc., Cohu’s wholly-owned microwave communications subsidiary. James P. Walsh, 38, currently Delta’s Vice President, Product Operations, will succeed Mr. Lightner as Vice President, Manufacturing.

Prior to joining Delta in June, 2004, Mr. Walsh was a consultant from 2003 to June, 2004, held various positions at Asymtek (a subsidiary of Nordson Corporation) a maker of automated dispensing equipment for the semiconductor industry from 1994 to 2003, and worked as an engineer at Ford Motor Company's Advanced Manufacturing Division from 1992 to 1994.

No employment agreements have been entered into with either Mr. Lightner or Mr. Walsh.
