(1) Reporting Person, acting through its subsidiary, ING Baring (U.S.) Capital Corporation ("ING Baring"), acquired 1,666,943 shares of California Coastal Communities Inc. (the "Company") on September 2, 1997 pursuant to a plan of reorganization filed by the Company under Chapter 11 of the United States Bankruptcy Code on July 14, 1997. On July 28, 1998, ING Baring acquired 263,741 shares of the common stock of the Company in a series of private party transactions. ING Capital LLC, acting as investment manager on behalf of ING Middenbank Curacao N.V., is the beneficial owner of the common stock of the Company previously held by ING Baring. As of the date hereof and after giving effect to the transactions reported on the Form 4 filed by the Reporting Person in respect of the shares of common stock of the Company on the same date this Form 3 is filed, the Reporting Person beneficially owns 1,630,683 shares of the Company's common stock.
(2) ING Groep N.V. is the indirect parent company of ING Capital LLC through a chain of wholly-owned subsidiaries.
