Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 7, 2018, the Compensation Committee of Heritage Insurance Holdings, Inc. (the “Company”) approved the payment of a discretionary cash bonus of $3.0 million to Bruce Lucas, the Company’s Chief Executive Officer, pursuant to the Heritage Insurance Holdings, Inc. Omnibus Incentive Plan. The Company anticipates the timing of the bonus will allow the payment to be fully deductible for tax purposes.
