Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On September 1, 2017, City Office REIT, Inc. (the “Company”), through City Office REIT Operating Partnership, L.P. (the “Operating Partnership”), as parent borrower, together with certain wholly-owned subsidiaries of the Operating Partnership, exercised its option to increase its borrowing capacity under the Company’s amended and restated credit agreement, dated as of June 26, 2015, as amended on July 14, 2015 (as amended, the “Credit Agreement”), from $100,000,000 to $150,000,000 pursuant to the accordion feature of the Credit Agreement. The Credit Agreement has a maturity date of June 26, 2018, which may be extended to June 26, 2019 at the Company’s option upon meeting certain conditions.
