Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 22, 2016, Career Education Corporation (the “Company”) determined that Jeffrey R. Cooper, Senior Vice President and Chief Compliance Officer, would cease serving in that role as an executive officer of the Company effective July 31, 2016. Mr. Cooper’s employment with the Company is anticipated to continue through September 30, 2016 for transition purposes. This change is being implemented in furtherance of the Company’s transformation strategy and its initiatives to realign its corporate structure and expenses to achieve greater efficiencies. The Company thanks Mr. Cooper for his dedicated service to the Company and its students. Mr. Cooper is eligible for benefits in accordance with the Company’s Executive Severance Plan.
