Dear Owens & Minor, Inc. Shareholder:

The 2016 Annual Meeting of Shareholders of Owens & Minor, Inc. (the “Company”) will be held at the corporate headquarters of the Company, 9120 Lockwood Boulevard, Mechanicsville, Virginia 23116, on Friday, May 6, 2016, at 9:00 a.m. (EDT).

Proposals to be considered at the Annual Meeting:

 

  (1) Election of the eleven directors named in the Company’s 2016 Proxy Statement, each for a one-year term and until their respective successors are elected;

 

  (2) Ratification of the appointment of KPMG LLP as the Company’s independent registered public accounting firm for 2016;

 

  (3) Advisory vote on executive compensation; and

 

  (4) Advisory vote on the frequency of a shareholder vote on executive compensation.

The Board of Directors recommends a vote “FOR” each director nominee in Proposal 1 and “FOR” Proposals 2 and 3. The Board of Directors recommends a vote for every “1 year” with respect to Proposal 4.

The Board of Directors has fixed the close of business on March 11, 2016 as the record date (the “Record Date”) for the determination of shareholders entitled to receive notice of and to vote at the Annual Meeting or any adjournment(s) thereof.
