This transformational combination will create a new industry leader positioned to solve the challenges of the chip – enabling semiconductor manufacturers to extend the power of Moore’s Law by delivering atomic level process and control. Lam and KLA-Tencor’s distinct but complementary capabilities in wafer processing and process control will help the combined company meet the need for reduced process variability and accelerated device yield.

The powerful drivers of cloud, mobility and the Internet of Things are increasing the economic and technical challenges faced by semiconductor manufacturers. To meet the demands of these segments – higher performance, lower power and smaller form factors – customers will require heightened levels of innovation and collaboration from equipment suppliers as they continue to scale with new materials, the transition to 3D device architectures, multi-patterning imaging, advanced packaging integration schemes and next generation memory solutions. By combining both companies’ leading capabilities, the resulting entity will be much better positioned to meet these challenges.

The transaction is subject to customary regulatory approval and approval from our shareholders, and we expect it to close by mid-calendar 2016.
