Item 8.01 Other Events

MasterCard Incorporated (the “Company”) disclosed in its proxy statement, filed with the U.S. Securities and Exchange Commission on April 25, 2013, that The Goldman Sachs Group, Inc. (“Goldman Sachs”) received payments from the Company in 2011 and 2012 for approximately $230,000 in the aggregate with respect to asset management services. Effective May 31, 2013, following a discussion of the proxy statement with a proxy advisory firm, the Company discontinued those services (subject to customary wind-down activities) and is shifting the services to a comparable provider.
