State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof could not be filed within the prescribed time period.

Spot Mobile International Ltd. (the “Company”) was unable to file its Form 10-K for the period ended October 31, 2011 within the prescribed time period given the transactions out of the ordinary course of business that occurred during the fourth fiscal quarter, as well as recent events, and, as a result, required additional time to prepare and review its financial statements and the notes thereto. Such delay could not be eliminated by the Company without unreasonable effort and expense.

It is anticipated that significant changes in the results of operations will be reflected by the Company’s financial statements for the fiscal year ended October 31, 2011 as compared with the comparable period of 2010. A reasonable estimate cannot be made at this time because review of the financial statements has not been completed.
