Item 2.02. Results of Operations and Financial Condition.

On January 21, 2009, Seagate Technology (or the “Company”) issued a press release to report its financial results for the fiscal quarter ended January 2, 2009. A copy of this press release is attached to this Current Report on Form 8-K as Exhibit 99.1.

The information contained in this report and the attached press release is “furnished” but not “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On January 16, 2009, in connection with the measures designed to lower the Company’s cost structure described in Item 2.05 of a Current Report on Form 8-K dated January 14, 2009, the Compensation Committee of the Board of Directors of Seagate Technology approved temporary 25% decreases in the annual base salaries of the Named Executive Officers named in the Company’s Proxy Statement dated September 19, 2008, and Mr. O’Malley, who was appointed by the Board of Directors to the office of Chief Financial Officer, effective August 25, 2008. The temporary salary reductions will become effective on February 2, 2009. The Compensation Committee will review this action in July 2009, and the duration of the reductions will be based on business conditions.
