ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On September 26, 2007, eSpeed, Inc. (the “Registrant”) and BGC Partners, Inc. (“BGC”) issued a press release raising BGC’s outlook as a stand-alone company and for the combined company for the full year 2007. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

The information in this Current Report on Form 8-K and the Exhibit attached to this Current Report on Form 8-K are being furnished under Item 2.02 of Form 8-K.
