Item 8.01 Other Events.

On February 23, 2007, The Bank of New York Company, Inc., a New York corporation (the “Company”), Mellon Financial Corporation, a Pennsylvania corporation (“Mellon”), and The Bank of New York Mellon Corporation, a Delaware corporation (“Newco”), entered into an Amended and Restated Agreement and Plan of Merger (the “Amended and Restated Merger Agreement”), which amends and restates the Agreement and Plan of Merger, dated December 3, 2006. Pursuant to the Amended and Restated Merger Agreement, Mellon and the Company will each merge with and into Newco. The two companies and Newco entered into the Amended and Restated Merger Agreement to change the order of the two mergers, to reflect the complete Certificate of Incorporation and By-Laws of Newco and to make other technical amendments. Except as indicated above, the terms and provisions of the original merger agreement remain the same.

The foregoing description of the Amended and Restated Merger Agreement is qualified in its entirety by reference to the text of the Amended and Restated Merger Agreement, which is incorporated herein by reference.
