Item 8.01. Other Events

 

On January 18, 2006, we issued a press release to report our financial results for the fiscal quarter and six months ended December 30, 2005. A copy of that press release was attached as Exhibit 99.1 to our Current Report on Form 8-K, filed with the SEC on January 18, 2006. The information contained in that Current Report on Form 8-K and the attached press release was “furnished” but not “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.

 

In order to be able to incorporate a portion of that information in our filings made pursuant to the Securities Act of 1933, as amended, including our Registration Statement on Form S-3 (Registration No. 333-122149) (the “Registration Statement”), we are filing as Exhibit 99.1 hereto a portion of the information contained in the January 18, 2006 Current Report on Form 8-K and attached press release, as well as portions of the information contained in an investor conference call on our earnings results that we held on January 18, 2006.

 

In addition, as previously announced, on December 20, 2005, we entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Maxtor Corporation (“Maxtor”), and MD Merger Corporation and a direct wholly-owned subsidiary of Seagate, by which Seagate has agreed to acquire Maxtor (the “Merger”). Set forth as Exhibit 99.2 hereto is a description of certain risks related to the Merger. Seagate is voluntarily filing these risk factors for the purpose of updating the risk factor disclosure contained in public filings, including the Registration Statement.
