On February 3, 2004, ONEOK, Inc. (the “Company”) announced a public offering of its common stock. The Company agreed to sell to Citigroup Global Markets Inc. approximately 6.9 million shares of its common stock generating proceeds of approximately $150 million to the Company, subject to customary closing conditions. All shares will be offered by the Company pursuant to an effective shelf registration statement on file with the Securities and Exchange Commission.
Citigroup Global Markets Inc. will be the sole underwriter for the offering and was granted an over-allotment option to purchase up to an additional 1 million shares within 30 days.
