EXPLANATORY NOTE

        Lee Enterprises, Incorporated ("Lee") is filing this Form 8-K/A to correct a filing error involving Exhibit 99.2 to Lee's Form 8-K, filed on February 1, 2005.

        Exhibit 99.2 was captioned as the Transcript of Lee's January 31, 2005 conference call and webcast held to discuss the Agreement and Plan of Merger (the "Merger") dated as of January 29, 2005 among Pulitzer Inc., Lee and LP Acquisition Corp. However, Exhibit 99.2 inadvertently contained a series of questions with answers for Lee stockholders about the Merger (which was previously filed on Lee's Form 8-K on January 31, 2005).

        Exhibit 99.1 hereto is the Transcript of Lee's January 31, 2005 conference call and webcast, and is incorporated herein by reference.

        With the exception of the foregoing corrections, no other information in the Form 8-K filed on February 1, 2005 has been supplemented, updated or amended.

        The proposed transaction will be submitted to Pulitzer’s stockholders for their consideration, and Pulitzer will file with the SEC a proxy statement to be used to solicit the stockholders’ approval of the proposed transaction, as well as other relevant documents concerning the proposed transaction.
