Item 2.02  Results of Operations and Financial Condition.

         On November 11, 2004, the Company issued a press release announcing its
net sales for the quarter and nine months ended October 31, 2004. The press
release also provided updated earnings per share guidance for the quarter ended
October 31, 2004 and the year ended January 31, 2005. A copy of the press
release is furnished herewith as Exhibit 99.1 and is incorporated herein by
reference.
