The Registrant is unable to complete its Annual Report on Form 10-K for the year ended December 31, 2006 within the prescribed time without unreasonable effort or expense due to unexpected delays in the Company’s internal analysis of certain oil and gas reserve information. Accordingly, the Registrant requests this extension of time to ensure a complete and accurate Annual Report on Form 10-K is filed. The Annual Report on Form 10-K will be filed no later than the fifteenth calendar day following the prescribed date.

The company plans to take a material impairment charge to its oil and gas property assets which are subject to amortization as a result of the full cost ceiling test. The company has been unable to fully assess that impairment charge within the time period as a result of delays having its reserves evaluated by an independent reserve engineer.
