Item 2.02 Results of Operations and Financial Condition.
On January 24, 2013, Flextronics International Ltd. (the Company) issued a press release announcing its financial results for the third quarter ended December 31, 2012. A copy of the press release is furnished with this report as Exhibit 99.1.

Item 2.05 Costs Associated with Exit or Disposal Activities.
On January 23, 2013, the Audit Committee of the Companys Board of Directors approved a series of restructuring activities, which are intended to rationalize the Companys global manufacturing capacity and infrastructure as a result of the current challenging macroeconomic environment. The restructuring activities are intended to improve our operational efficiencies by reducing excess workforce and capacity. In addition to these cost reductions, these activities will result in a further shift of manufacturing capacity to locations with higher efficiencies and lower costs.
The Company expects the total estimated pre-tax costs associated with these activities to be between $100 million and $125 million, comprised primarily of employee related costs of approximately $90 million to $110 million and the remaining costs associated with other exit related costs. The Company expects the future cash expenditures for these restructuring activities to be between $90 million and $110 million. The Company expects to recognize these charges in its quarter ending March 31, 2013. The amount and timing of the actual charges may vary due to several factors, including the fact that certain of the restructuring activities are subject to required consultation activities with the Companys employees and their representatives and compliance with statutory severance requirements in certain jurisdictions.
