Third Party Validation The transaction was unanimously approved by all TDS directors, including independent directors. Citi is acting as a financial advisor to TDS in connection with the proposed amendments. The independent directors were represented by their own financial advisor (Credit Suisse) and counsel (Bass, Berry & Sims PLC). Morgan Philip Cusick and Richard Choe The company announced a plan to reclassify the special TDS shares to common, which could take about 35 days after SEC approval of the proxy. The discount between TDS.S and TDS shares narrowed from ~12% to ~3% during the day (TDS down 16%, TDS.S down 7%). We maintain our UW rating on USM and establish our YE2012 price target of $34; we rate TDS Neutral and establish a $28 YE2012 target. Raymond James Ric Prentiss and Eric Mallis TDS proposes simplified capital structure The company announced this morning that its Board had approved TDS certificate of incorporation amendments that would see the TDS Common Shares and Special Common Shares consolidated into a single class of publicly traded common shares. The special common shares currently trade at a 12% discount to the common shares (even though they have the same economic rights and virtually the same voting rights). This amendment will require the approval of the majority of each class of unaffiliated shareholders (unaffiliated does not include the Carlson Family, the TDS Voting Trust, which is controlled by the Carlson Family, or Directors and Officers of TDS). We view this proposal favorable as we believe the complicated share structure has been an overhang for the stock and believe a unified common share class should help improve liquidity. SunTrust Robinson Humphrey Robert Dezego TDS is simplifying the capital structure, which should improve liquidity and remove a major overhang and source of confusion. TDS will convert all special common (TDS.S) shares to TDS class a shares, leaving only TDS and USM stock. This has been long awaited by investors and should be well received. The Carlson family voting power will increase from 54% to 56%. 28

Analyst Commentary (cont.) Stifel Nicolaus Christopher King and Josh James The company announced a proposal to reclassify the company's special common shares into common shares, thus simplifying the company's capital structure and eliminating the discount at which the special common shares tend to trade. The special shares, which were issued in 2005 in order to maintain voting control by the Carlson family, would be converted into common shares with voting interests remaining unchanged--the Carlson family and its affiliates would continue to maintain a voting control over the company. While we view the capital structure as a positive, the long-standing issue of voting control and the company's willingness to be an acquiree in an M&A transaction, remain, in our view. Morgan Stanley Simon Flannery and Daniel Gaviria Amendment to reclassify TDS/S as TDS: We welcome management’s proposal to close the gap between its TDS and TDS Special shares, which in essence hold the same economic value. Summary of the proposal: Exchange ratio: one-for-one. No change in voting control (when appointing directors) for the non-traded Series A Common (Carlson family) shares. The newly combined TDS shares would continue to have four of the twelve directors. Subject to shareholder approval; vote to occur likely in 4Q. USM and TDS buybacks have been put on hold until the shareholder meeting occurs. Benefits: a) increase public float and market liquidity, b) reduce complexity and allow TDS to use its equity for M/A and benefit plans without the economic dilution from the discounted TDS/S shares. 29
