Explanatory Note

 

This Form 8-K/A is being filed as an amendment (the “Amendment”) to the Current Report on Form 8-K filed by AECOM Technology Corporation (the “Company”) with the Securities and Exchange Commission on March 9, 2011 (the “Original Filing”).  The sole purpose of this Amendment is to disclose the Company’s decision regarding how frequently it will conduct future stockholder advisory votes on executive compensation.  No other changes are being made to the Original Filing.

 

Item 5.07.                                   Submission of Matters to a Vote of Security Holders.

 

Taking into consideration the voting results from the Company’s 2011 Annual Meeting of Stockholders concerning the frequency of the stockholder advisory vote on executive compensation, the Company’s Board of Directors has determined the Company shall hold an annual advisory vote on executive compensation until the next advisory vote on the frequency of such votes.
