Item 8.01.  Other Events.

On July 2, 2007, the stockholders of Spirit Finance Corporation (the “Company”) approved the merger of the Company with and into Redford Merger Co. (“Redford”).  The merger will be completed as soon as practical following satisfaction of all remaining conditions to the merger set forth in the Agreement and Plan of Merger with Redford Holdco, LLC and Redford dated March 12, 2007.  The Company and Redford issued a joint press release with respect to the Company’s stockholder approval of the merger, a copy of which is attached hereto and incorporated herein by reference as Exhibit 99.1.
