Explanatory Note
This Amendment No. 1 on Form 8-K/A (this “Form 8-K/A”) is an amendment to the Current Report on Form 8-K of Vectren Corporation and Vectren Utility Holdings, Inc., dated February 1, 2019 (the “Original Form 8-K”). This Form 8-K/A is being filed solely to correct the signature page of the Original Form 8-K by adding to the signature page Vectren Utility Holdings, Inc., which was inadvertently not listed. A copy of the corrected signature page is attached as Exhibit 99.2. No other information in the Original Form 8-K is amended hereby.
