ITEM 1.01 Entry into a Material Definitive Agreement.
Update on ACA Health Insurer Fee
On December 30, 2014, the Company's subsidiary, Superior HealthPlan Inc., signed an agreement with the Texas Health and Human Services Commission providing for reimbursement of the Affordable Care Act (ACA) annual Health Insurer Fee (HIF) and related tax gross-up. Reimbursement for the full amount of the applicable 2014 HIF related to our Texas operations will be recorded in the fourth quarter of 2014.
