Item 1.01. Entry into a Material Definitive Agreement

On February 12, 2013, we executed an amendment to our Credit Agreement, dated as of January 31, 2011 (the “Revolving Credit Facility”), with various financial institutions party thereto and Barclays Bank PLC, as administrative agent (the “Amendment”). The Amendment amends the debt covenants to increase the maximum total debt to EBITDA ratio during the first three quarters of 2013 to provide for increased borrowing availability and changes the maximum total debt to EBITDA ratio to 3.0 as of December 31, 2013 and thereafter. The Amendment also adds an additional pricing tier, among other things.

From time to time in the ordinary course of their respective businesses, the Lenders (as defined in the Amendment) and their affiliates have engaged in and may in the future engage in commercial banking, derivatives and/or financial advisory, investment banking and other commercial transactions and services with us and our affiliates, including as lenders or participants in our credit facilities, for which they have received or will receive customary fees and commissions.
