On October 20, 2012, Dennis Weinberg, a current member of  the board of directors of Salem Communications Corporation (the “Company”), notified the Company that he does not wish to stand for re-election as a director of the Company at its upcoming annual meeting of stockholders tentatively scheduled for June 2013 (the “Annual Meeting”).  Mr. Weinberg’s decision not to stand for re-election is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.  Mr. Weinberg has served as a director of the Company since November 2005.  He is also a member of the Company’s Nominating and Corporate Governance Committee.  It is anticipated that Mr. Weinberg will continue to serve as a director, and as a member of the Company’s Nominating and Corporate Governance Committee, until his current term expires effective upon the election of directors at the Annual Meeting.
