Item 7.01 Regulation FD Disclosure.
On April 30, 2018, Walmart Inc., a Delaware corporation (“Walmart”), issued a press release (the “Press Release”) disclosing that it had entered into an agreement with J Sainsbury plc (“Sainsbury’s ”) regarding a combination of Sainsbury’s and Asda Group Limited, a wholly-owned subsidiary of Walmart operating its retail business in the United Kingdom. The Press Release describes, among other things, some of the terms of the transaction between Walmart and Sainsbury’s, as well as an estimate of the non-cash loss that Walmart expects to recognize based on the transaction terms, which loss could fluctuate significantly from the current estimate due to changes in the fair value of the equity consideration to be received and changes in currency exchange rates. The Press Release also describes the expected impact on earnings in the first full year following completion of the transaction and in subsequent years. A copy of the Press Release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
