Explanatory Note.
This filing amends the Current Report on Form 8-K of Tyson Foods, Inc. originally filed on February 27, 2017, reporting Brad T. Sauer’s resignation as director of Tyson Foods, Inc. This filing amends such Form 8-K solely to include written correspondence received from Mr. Sauer in connection with his resignation in which he indicated that his resignation was not due to any disagreement with Tyson Foods, Inc.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 27, 2017, Brad T. Sauer tendered his resignation, effective immediately, as a director of Tyson Foods, Inc.
