(b) On November 30, 2007, James F. Gentilcore, President and Chief Operating Officer,
Semiconductor Products Group, resigned from the Company pursuant to the provision of his Employment
Agreement allowing him to do so for Good Reason in the event that he was not offered the position
of Chief Executive Officer of the Company following the conclusion of the term of the prior Chief
Executive Officer.
